KBE Legal Talent has been engaged by a prominent ASX-listed company to secure a Legal Counsel to assist the General Counsel and wider business. About the role Working under the supervision and support of the General Counsel and Company Secretary, you will have the chance to grow your legal expertise in a supportive, respectful, and friendly team environment. Your key responsibilities will include: Preparing and reviewing legal agreements for the company from time to time, including confidentiality agreements.Managing the company’s legal records.Managing subsidiary board meeting process from start to finish, including planning, agenda preparation, review of minutes and coordinating associated action items.Managing subsidiary company administration, including regulatory compliance for foreign-domiciled subsidiaries.Providing advice on matters related to best practice governance.Preparing draft disclosure and regulatory forms for the company including sustainability disclosures and modern slavery reporting.Providing advice on matters related to the company’s royalty agreements. Due to the recent acquisitions of foreign entities, some flexibility may be required for meetings outside of normal hours to accommodate different time zones. Who we are looking for We would like to speak with lawyers with 2-4 years’ PAE who are familiar with and have a strong interest in governance and ideally some exposure to the ASX Listing Rules and Corporations Act. Ideal candidates will have experience across corporate, commercial or governance. The ideal candidate will have some experience from a top/mid-tier law firm or in-house team with excellent communication skills and a proactive approach to assisting the wider legal team.
